Terms of Service

1. Agreement

These terms govern use of the DVAP (DataVance Accounts Payable) API, operated by DataVance (ABN 16 787 418 307) ("DataVance", "we"). By obtaining an API key or subscribing via a marketplace and calling the API, you agree to these terms on behalf of yourself or the organisation you represent ("you").

2. The service

DVAP is an accounts-payable automation API: it extracts data from invoice documents, validates it, screens for duplicates and fraud indicators, matches invoices against purchase orders and goods receipts, supports approval workflows, and exports to accounting/ERP formats. Measured extraction accuracy is published at /api/v1/metrics/accuracy.

3. Accounts and API keys

You are responsible for keeping API keys confidential and for all activity under them. Notify us promptly at support@datavance.com.au if a key is compromised; keys can be revoked and reissued at any time.

4. Plans, quotas and rate limits

Usage is subject to the document quotas and rate limits of your plan. Requests beyond plan limits are rejected with HTTP 429. We may throttle or suspend usage that degrades the service for others or that indicates abuse.

5. Your data and responsibilities

You warrant that you have the right to submit the documents you send for processing and that doing so complies with applicable law. DVAP output — including extracted fields, confidence scores, fraud risk scores, and matching results — is decision-support information, not financial, tax, or legal advice, and does not replace your own review and approval controls. You are responsible for verifying output before acting on it, particularly before making payments.

6. Availability

We provide the service with commercially reasonable efforts and target high availability, but do not offer a contractual SLA on self-service plans. We may perform maintenance with reasonable notice where practical.

7. Fees

Fees are as listed on the marketplace or plan through which you subscribe, and are billed by that marketplace under its terms. Plan pricing may change with reasonable notice; changes apply from your next billing period.

8. Intellectual property

We own the service and everything in it except your data. You own the documents you submit and the data extracted from them; you grant us a licence to process that data solely to provide the service (see the Privacy Policy for how AI processing works).

9. Liability

Nothing in these terms excludes rights that cannot be excluded under law, including the Australian Consumer Law. To the maximum extent permitted by law: the service is provided "as is"; we are not liable for indirect or consequential loss (including lost profits or payments made in reliance on output); and our total aggregate liability is capped at the fees you paid for the service in the three (3) months before the event giving rise to the claim.

10. Suspension and termination

You may stop using the service at any time; cancellation of marketplace subscriptions follows the marketplace's process. We may suspend or terminate access for breach of these terms, non-payment, or unlawful use. After termination you may request an export of your stored data within 30 days, after which we may delete it.

11. Changes

We may update these terms; material changes will be notified via the marketplace listing or the support email you have on file. Continued use after a change takes effect constitutes acceptance.

12. Governing law

These terms are governed by the laws of Australia. Disputes are subject to the courts of the state or territory in which DataVance operates.
